That distinction can matter years before an owner is ready to sell. DBG Advisors notes that a valuation can establish a baseline for what has been built, while also giving the owner a way to compare the company's current value with what they may eventually need the business to provide.
For many established private businesses, the process begins with normalized EBITDA. Unlike reported earnings alone, normalized EBITDA examines unusual, nonrecurring, discretionary, or owner-specific items to estimate the economic performance a buyer may reasonably expect to continue under new ownership. Those adjustments, the guide stresses, should be supportable rather than simply added back to produce a higher number.
Valuation multiples then help translate those earnings into an estimated value range. However, DBG Advisors cautions against relying on simple industry rules of thumb because two companies with similar earnings may carry different levels of risk, growth potential, management depth, and transferability.
Even then, estimated business value does not necessarily equal the owner's eventual proceeds. Debt, taxes, transaction expenses, working-capital requirements, earnouts, and retained equity can all affect what ultimately reaches the owner after a deal.
That leads to what DBG Advisors calls the owner's “enough” number, or the financial resources needed from the business, together with other assets and income, to support the future the owner wants. When likely proceeds fall below that requirement, a value gap exists.

The guide ultimately recommends understanding that gap before a sale becomes urgent. Earlier valuation can give owners more time to assess what is influencing value and whether the business is on track to support their long-term goals.
